• Board and leadership advisory services
• Related strategic consulting engagements

Service availability may vary based on our capacity and your specific requirements. We reserve the right to decline engagements that do not align with our capabilities or expertise.

Specific terms for each engagement will be outlined in a separate engagement agreement or statement of work.

4. User Responsibilities

4.1 Acceptable Use

When using our website or services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of any account credentials

Upon full payment for services, we grant you a limited, non-exclusive, non-transferable license to use deliverables from your engagement solely for your internal business purposes. This license does not permit:

• Modification of deliverables without our written consent
• Commercial redistribution or resale
• Removal of proprietary notices or attribution
• Use of our methodologies for competing consulting services

5.3 Client Information

You retain all rights to information and materials you provide to us during engagements. By providing such materials, you grant us a license to use them solely for the purpose of delivering our services to you.

6. Payment Terms

6.1 Fees and Payment

Service fees are specified in individual engagement agreements. Unless otherwise stated:

• All fees are in Thai Baht (THB)
• Payment is due within 30 days of invoice date
• Late payments may incur interest charges of 1.5% per month
• We accept payment by bank transfer or other methods as agreed

6.2 Refund Policy

Due to the customized nature of our consulting services:

• Fees for completed engagements are non-refundable
• For multi-month retainers, either party may terminate with 30 days written notice
• Upon termination, fees for work completed will be retained
• Any advance payments for future work will be refunded

7. Confidentiality

Both parties agree to maintain confidentiality of information disclosed during the course of our engagement. This includes:

• Business plans and strategic information
• Financial data and projections
• Proprietary methodologies and tools
• Customer and employee information

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach of this agreement
• Was rightfully possessed prior to disclosure
• Is independently developed without use of confidential information
• Must be disclosed by law or court order

8. Disclaimers

8.1 Service Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied. While we strive to provide high-quality consulting services, we do not guarantee specific results or outcomes.

8.2 No Professional Advice

Our services provide strategic consulting and advisory support. They do not constitute legal, financial, accounting, or other professional advice. You should consult appropriate licensed professionals for such advice.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the fees paid for the specific engagement giving rise to the claim
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for lost profits, data, or business opportunities

These limitations apply regardless of the legal theory on which claims are based and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Obvex and our officers, consultants, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Termination

11.1 Termination by Either Party

Either party may terminate an engagement:

• For project-based work: With 14 days written notice
• For retainer arrangements: With 30 days written notice
• Immediately for material breach that remains uncured after 14 days notice

11.2 Effect of Termination

Upon termination:

• Payment is due for all work completed through the termination date
• We will deliver any completed work product
• Confidentiality obligations continue indefinitely
• Licenses granted terminate except for delivered work product

12. Dispute Resolution

12.1 Governing Law

These Terms and Conditions are governed by the laws of Thailand, without regard to conflict of law principles.

12.2 Jurisdiction

You agree that any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Thailand.

12.3 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good faith negotiation to resolve disputes. Either party may initiate this process by sending written notice to the other party.

13. General Provisions

13.1 Entire Agreement

These Terms and Conditions, together with any engagement-specific agreements, constitute the entire agreement between you and Obvex regarding our services.

13.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Notice

14. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective when posted to our website with an updated "Last Updated" date.

For existing engagements, changes will not apply retroactively without your consent. Continued use of our website or services after changes constitutes acceptance of modified terms.
